- Terms And Conditions

1. The applicant shall act as an Independent Distributor, hereinafter referred to as "ID" for WALPAR HEALTHCARE hereinafter referred to as the said "Company". The Company has the option to reject any application without assigning any reasons and the decision of the Company shall be final and binding. The duly completed Registration form together with the Rules and Regulations and Code of Ethics, Polices, and Procedures constitutes and ID agreement ("Agreement") between WALPAR HEALTHCARE, and the Applicant(s) whose signature and other identification data appear overleaf.


2. Participation in WALPAR HEALTHCARE: Participation by persons/ distributors is subject to the terms and conditions framed or announced, amended or changed or prevalent from time to time posted in the website www.walpar.net and the same shall be deemed to constitute acceptance by the participants of such persons/ distributors of such terms and conditions as amended from time to time. Applicant when accepted, is called "Independent Distributor", referred herein as ID, represents and warrants that the ID understands the products retail marketing programme and the compensation plan and is not replying on any representation or offer that is not contained in this Agreement or other official Company material.

3. Distributor Rights and Responsibilities: By applying to participate in the WALPAR HEALTHCARE marketing programme, the ID understands that he/ she is bound by the terms and conditions hereof and that ID will be entitled to participate as a Distributor, upon acceptance of a valid application by WALPAR HEALTHCARE.

4. Commission Entitlement: The distributorship will not entitle automatic commissions. A commission is payable only on sale of products by him/ her team as per the Marketing Plan of WALPAR HEALTHCARE after qualification.

5. Independent Distributor: ID agrees that upon acceptance of this application by WALPAR HEALTHCARE, ID will be an independent Distributor, will have no authority to bind the Company to any obligation, agreement and commitment of any kind.

6. The relationship between the ID and WALPAR HEALTHCARE is established by this Agreement that the ID is not an agent, employee or any other legal representative of WALPAR HEALTHCARE or its service providers. The ID is solely responsible for all income taxes and any other central, state, local taxes that may be due as a result of ID's business activities. The ID agrees to abide by any central and state laws; rules and regulation pertaining to this Agreement at his/her own expense. The ID will make, execute and file all such reports / returns as are required by the law or public authority with respect to this Agreement.

7. Policy/ Rate Changes: ID agrees that WALPAR HEALTHCARE may, from time to time change the commission plan, rates, prices, charges and rules and regulations of this Agreement. If the ID chooses to remain in the programme, he/ she agrees to abide by those changes. Any such notice shall be deemed to have been given and received as of the day after such notice is posted in the website of WALPAR HEALTHCARE. It is ID's responsibility to stay abreast of developments communicated in this fashion. The company reserves the right to terminate or change the Marketing Programme wholly or in part thereof in any manner whatsoever at any time without notice, without limiting the technology of the foregoing. The company shall have the right to change the present distributorship fees, conditions of enrollment, the terms and conditions, etc. In the event of termination of the programme all the commissions earned or accumulated by the Distributor shall stand forfeited.

8. Eligibility & Legal Age: The Distributor has to be an Indian National and competent to enter into agreement. He/ she should not have been prevented or prohibited under any law in force from entering into contract. The applicant must be above 18 years of age, as on the date of application in order to be eligible to become a Distributor. The Distributor taken in the name of the company/ organization shall fill the business addendum form and shall enclose their applicable legal documents.

9. Term/Renewal: Membership with company is lifetime, no yearly renewal of membership is necessary.

10. Cross Sponsoring/ Cross Recruiting: Distributor understands that Cross Sponsoring, Cross Recruiting and cross line jumping is prohibited in the Marketing Plan of WALPAR HEALTHCARE. This may result in the imposition of penalty, as more fully set forth hereafter, but may include immediate termination of this agreement. "Cross Sponsoring" means soliciting a Distributor or entity into a downline team different from the existing downline team of that Distributor. "Cross Recruiting" means soliciting a Distributor, into another network marketing company. "Cross line Jumping" means a Distributor or entity voluntarily taking a Distributorship that is not in the same line of sponsorship as the one in which the Distributor first enrolled.

11. Every person who desire to enroll as an ID must ensure that the payment is made directly to the company or deposited to his/her sponsor or to any person for the purpose of enrolment shall do so entirely at his/her sole risk and the company shall not incur liability of any nature for such payment made. If the PIN/ ID number is obtained from the Franchisee/ Upline, all responsibility arising from the same will be of the concerned Franchisee/ Upline and the company shall incur no liability.

12. Payment for products must be made directly to the company and products must be claimed personally by the Distributor. If payment is made by the Distributor to the Franchise/ Upline or authorization is given to claim the products, the company shall incur no liability. In such event the products must be claimed from Franchisee/ Upline.

13. Products will be delivered at the premises of super stock points and/or stock points appointed by the company throughout the India. Any distributor who wishes to have the product delivered at any other place shall bear and pay freight, octroi/ local taxes as applicable.

14. The products distributed by WALPAR HEALTHCARE are under the usual product guarantees and/or warranties provided by the original manufacturer. WALPAR HEALTHCARE will pass on this third party warranties directly to the ID. Any product grievances can be addressed directly to the company through super stock point/stock point holders. In case of any product manufactured by the company, claim, if for any damage or defect must be lodged within One month of delivery of the product.

15. However, any guarantee/warranty would not apply to: Products that have been intentionally serian or misused. Products which provides a specied time period for returns or tree

16. Restriction of Multiple Distributorship: The Company does not allow a person/legal entity to have more than One Distributorship. Violation of this lead to the termination of the Distributorship.

17. Income Representation: Distributor understands that although Distributor may recommend other Distributors into the Marketing Programme, the programme does not allow Distributor to profit solely from the activity of recommending or sponsoring other Distributors. Commissions are paid only on actual sale of Product Package and other product sales that are made by Distributor and by other Distributors that fall into Distributor's downline network. No one should make any offer or guarantee that Distributor will derive any specific income or profit as a Distributor from sponsoring, enrolment and recruitment. Distributor understands that any income Distributor earns from the Marketing Programme of WALPAR HEALTHCARE is determined by Distributor's personal sales activity as an independent Distributor. Distributor understands that Product Packages and other product sales commissions shall be paid only to the qualified "selling or active" Distributor and to his/her downline or upline. A Distributor shall not make any income representations.

18. Transfer of Distributorship: In order to maintain the integrity of the Company's sales organization, the distributorship of Individual/Proprietary can be transferred only to Legal Heir or as per Registered Will by production of valid documents from relevant authorities. All such transfers require a payment of a Transfer Fee of Rs. 500/-and must be approved by Company.

Sale of legal entity, which owns a Distributorship, is hereby deemed to be the sale of the Distributorship and is subject to the provisions above stated.

19. Nomination: Distributor can nominate a person to be his/ her successor for transfer of Distributorship of WALPAR HEALTHCARE Marketing Programme. If the nominee is a minor, he/ she should name the guardian of the minor.

20. Information from Distributors: All registration information provided by a Distributor to WALPAR HEALTHCARE must be accurate and complete. Distributor must update and correct registration information if it changes.

21. Advertisement by Distributors: Distributor shall not use the Logo of WALPAR HEALTHCARE or related organizations and shall not publish materials or release advertisements for and on behalf of WALPAR HEALTHCARE or otherwise solicit related business by advertisement in print media or Digital media in violation on the code of ethics of Marketing Programme or any Central or, State law or regulations.

22. Indemnity: Distributor Indemnifies and holds WALPAR HEALTHCARE harmless against all claims made by any third party, and related damages and expenses (including reasonable attorney's fees), arising out of or connected with the distributor's conduct, the goods or services the distributor offers, or any violation of this agreement by Distributor.

23. Voluntary Registration/ Termination: Distributor may voluntarily terminate this Agreement by sending written notice of 30 days at any time for any reason. If a Distributor terminates this Agreement that Distributor shall not be allowed to become a Distributor again for a period of six

(6) months. If a Distributor re-joins in violation of this policy then that Distributor shall not be permanently terminated and Distributor shall not be allowed to earn any commission from the new position. This distributorship can be terminated by giving 30 days notice in writing from either side (i.e. by the distributor or by the company).

24. The Company will make all payments on account of commission and/or incentives through account payee Cheques drawn in favor of The Applicant only or deposit the said amount into the Applicant's Account only after deduction of all applicable fees and statutory requirements as governed by the law of the land.

25. The distributors may in writing exercise the option of availing the facility of Pay card instead of receiving benefit by Cheque/DD/Pay Order.

26. The Distributor alone shall be responsible for all or any loss, liability or expenses caused by negligence in handling the pay card or any mischief/fraud causes by any third party who may have access to the pay card.

27. No TDS Certificate can be issued unless duly self-attested photo copies of the PAN Card, Age proof certificate and Bank Account details are furnished to the company

28. Jurisdiction/Venue: All disputes between the member/distributor and the company arising out or in relation to this programme shall be first settled by amicable negotiation between parties. In the event of the dispute not being settled between parties amicably, then the same shall be referred to the Sole Arbitrator appointed by WALPAR HEALTHCARE under the provisions of Arbitration & Conciliation Act 1996 and the venue shall be at Ahmedabad only. This Agreement shall be construed and enforced in accordance with the laws of Union of India and shall be subject to Ahmedabad Jurisdiction. Causes of action between the parties hereto of any type, whether based on this Agreement, on fraud or any other tort, or grounded in principles of strict liability or statues of any kind, shall be heard exclusively in a court of competent jurisdiction in Ahmedabad city. Each party hereby submitting to the jurisdiction of such courts and expressly waiving the right to be sued in all other courts. In any cause of action the winner shall be entitled to recovery of all reasonable attorney fees, court costs and other costs of the action.

29. Address: The Address of Distributor shall be as is maintained in the records of WALPAR HEALTHCARE. The address of WALPAR HEALTHCARE is T1, 2nd Floor, Abhilash Apartment, Near Shanti Tower, Nehrunagar-Manekbaug Road, Ambawadi, Ahmedabad - 380009, Gujarat, India. Either may be changed from time to time.

30. Official Language/ Definitions: The English version of this Agreement, as maintained on its official website www.walpar.net by WALPAR HEALTHCARE, is the official version and shall have control over any other language versions) which may be made available for ease of reference for some Distributors. As used n the materials, when the term "sell" and words of similar import are used to describe the sales activities of a Distributor, this is an abbreviated reference to the promotional activities of a Distributor with respect to sales and it is understood that all sales are between the Company and the purchaser, not between the Distributor and the purchaser. Likewise, when the term "recommend" and words of similar import are used to describe the referral and recommending activities of a Distributor, this is an abbreviated reference to the team building activities of Distributor and it is understood that the agreement by which one becomes a Distributor is between the Company and the recommended Distributor and not between the new Distributor and the recommending Distributor.

31. Entire Agreement: This Agreement constitutes the entire agreement between the parties and the subject matter hereof, and no other additional offer, representations, guarantees or agreements of any kind shall be valid concerning such subject matter unless in writing and signed by an authorized officer of WALPAR HEALTHCARE.

DECLARATION:

I, the undersigned, confirm that I have competed 18 years of age; I understand that a purchase of promotional product, as listed on the website will make me eligible for a relationship as an Independent Distributor with the Company. My ID relationship cannot be transferred, sold, assigned to any person without the prior written consent of the company. I am responsible to pay all my applicable taxes from time to time and the Company will not be held liable for the same. I have no objection and I agree to the Company deducting tax at source from my weekly/monthly actual cheques as per rates prescribed under the Income Tax Act, 1961 or pay the same as prescribed under any other law for the time being in force or any modification thereof. I confirm that the information set forth is accurate to the best of my knowledge and belief and have read, understood and hereby agree to the terms and conditions given in this form and those prevalent/ updated on the Company's website, a copy of which has been made available to me by my Sponsor. I also confirm and agree to abide by such Terms and Conditions modified or amended by the said Company from time to time.

I agree that I am accepting the above and submitting my distributorship application, agreement, marketing plan and declaration. I have signed this application, agreement, marketing plan and declaration online electronically.
